Better'n'Cheaper Sponsoring Program

These terms are valid for AdSpy Pro (first release of BNCSP) and Covert Conversion Pro (second release of BNCSP)

Details of the different level of contribution - These are the Terms and Conditions of the Better'n'Cheaper Program. Be sure to fully understand them before applying for a position in our sponsorship program.

"Silver Package" or Private Use License :

You will receive a fully functional script. You are granted a Private Use license, meaning you can install the script on your server or on any server YOU OWN. You can use the script for your personnal and private use and cannot tranfer this license to any third party under any circumstances. To be allowed to sell the script, you need a Reseller License (see below)

You will receive an encrypted version of the script : you are not allowed to reverse-engineer, to remove the encryption of the script. You are not allowed to make any modification to the script, nor to alter it in any possible way. To receive a non encrypted version that you can modify you need a Private Label License (see below)

The product is licensed only to you. You may not rent, lease, sub-license, sell, assign, pledge, transfer or otherwise dispose of the product, on a temporary or permanent basis

Summary of your rights within the "Silver Package" :

"Gold Package" or Reseller License :

The reseller license includes the above Private Use License. In addition you are granted a non transferable Reseller License.

As A Reseller You Agree To Abide By The Licence Agreement Set Out Below :

This is a non-exclusive reseller agreement which extends you a worldwide resell licence to sell this product to your customers - As a reseller you agree to act in this capacity subject to the terms of resale outlined below and to the conditions of this agreement.

This license is personal, non-transferable and non-exclusive.

The product ('Gold Package') is licensed only to you. You may not rent, lease, sub-license, sell, assign, pledge, transfer or otherwise dispose of the product, on a temporary or permanent basis

Reseller's Obligations: The Reseller shall use best endeavours to promote and market this product (at its own cost), seek orders for the products using all due care and diligence and shall cultivate and maintain good relations with the reseller's clients and potential clients in accordance with sound commercial principles.

The Reseller shall conduct (at its own cost) the promotion and marketing of this product along with the provision of support services with all due care and diligence (Innovative MArketing Solutions LLC will be able to install the script for your customers for a low fee)

The Reseller shall provide first level support and maintenance services

Limitation of Liability: In no event will Innovative Marketing Solutions LLC be liable for any damages resulting from loss of data or use, lost profits, loss of anticipated savings, nor for any damages that are an indirect or secondary consequence of any act or omission of Innovative Marketing Solutions LLC whether such damages were reasonably foreseeable or actually foreseen.

In no event shall Innovative Marketing Solutions LLC be liable to the Reseller for any losses whatsoever (whether lost future revenues, lost future profits, expenditure incurred to no benefit, or otherwise) suffered or incurred by the Reseller solely or substantially because this Agreement has been terminated.

Termination Consequences: On the termination of this Agreement for any reason:

The Reseller shall cease to promote, market, advertise or solicit the Reseller's Clients for the Product;

The Reseller shall have no claim against Innovative Marketing Solutions LLC for compensation for loss of reseller rights, loss of goodwill or any similar loss;

You must include a copy of the Private Use License (see above) to the product you deliver to your customers.

Summary of your rights within the "Gold Package" :

[YES] May be sold as a standalone product for any price above $47 (for AdSpy Pro) and above $67 (for Covert Conversion Pro)
[NO] Can be packaged

[NO] Can sell with Resale Rights
[NO] Can sell with Master Resale Rights

Be sure to fully understand the above terms :

They are made to protect your investment in this license. License will be revoked if we find a reseller not complying with the above terms. This product MUST be sold as the main product, and as a standalone product for any price ABOVE $47 (for AdSpy Pro) and ABOVE $67 (for Covert Conversion Pro) . You can add bonus to your offer, but it should NEVER confuses the customer that you are selling the script you got from the BNCSP program as your main offer. You cannot package it with any other product. No exception.

Once again, complying with these terms is a mean to make your license profitable. It's not meant to block your marketing actions.

Affiliate Program: within the reseller's license you are authorized (and it's even recommended) to run your own affiliate program. BUT, the commission you offer to your affiliate should not exceed 65% of the price of the product.

"Diamond Package" or Private Label License :

You are granted a Reseller's License and you are bound to the above terms for this part of your License.

In addition you are granted a personal, non transferable, non exclusive Private Label License :

You will receive a NON encrypted version of the script
You can USE the code and create your own products. By doing so you are not allowed to use any reference to JP Schoeffel and/or Innovative Marketing Solutions LLC and to any brands / marks related to the given product.
You cannot sell or give away the source code. You need to use the code and create your products; you can do what ever you want with your products provided that you've created a whole new product. If you only rebrand the script then you're bound to the reseller's license.
You cannot sell or give away the Private Label Rights to anyone. These rights are offered only to you.
You can rebrand the script (but cannot claim copyright) to your own brand, change its name : in this case, you cannot use any reference to JP Schoeffel, Innovative Marketing Solutions LLC and to any brands / marks of the script (for example : you cannot ever mention adspypro, adspypro.com in your product / communication)
When you ONLY rebrand (meaning you're not altering the features of the script) you are strictly bound to the reseller's license, meaning you cannot sell rights to your rebranded version
Your License cannot be transferred to a third party.

Summary of your rights within the "Diamond Package" (in addition of the Reseller's License rights above):

[YES] May rebrand and put your name on it
[YES] May edit the source code, alter it and create derivative products
[NO] Can do whatever I want IF I ONLY rebrand the script (reseller's license terms apply when you only rebrand the script) without creating a derivative product.
[YES] Can do whatever I want if I create a derivative product with NO relation / No reference at all (In simple terms : your derivative product should have unique features and look unique so that it cannot be identified as part of the original script you've used to create the derivative work)

The following apply in case you've just rebranded the script (new name, new graphics) without creating a new product :

[NO] Can be packaged
[NO] Can be offered through auction sites.
[NO] Can be added to membership sites.
[NO] Can be offered via ‘dimesale’ or 100% commission offer.
[NO] Can sell with Reseller's License
[NO] Can sell with Master Reseller's License
[NO] Can Sell Private Label License
[NO] Can be offered as a bonus or incentive.
[NO] May be given away

AdSpy Pro^® is a registered trademark and MUST not be used prior any consent from JP Schoeffel, owner of the trademark (registering a domain name using any reference to adspypro is prohibited)

Covert Conversion Pro is a Service Mark and you cannot register any domain name using Covert Conversion Pro words, in any order.

Following Disclaimer and Copyright notice is valid for all licenses.

Warranty: Innovative Marketing Solutions LLC does not warrant that the functions of the product will meet any particular requirements or that their operation will be entirely error-free or that all program defects are capable of correction or improvement. All other warranties including any implied warranties of merchantability, satisfactory quality or fitness for purpose or ability to achieve a particular result are hereby excluded. In the absence of fraud, no oral or written information or advice given by Innovative Marketing Solutions LLC or its agents or licensees shall create a warranty or give rise to any other liability other than is given in this Agreement.

Copyright notice and Intellectual Property : Innovative Marketing Solutions LLC and JP Schoeffel are the owner of all intellectual property rights forming part of this products and its documentation (including the marks). Neither this agreement nor any licence or sub-licence granted under this agreement shall be construed to convey or transfer any ownership or proprietary interest in any Intellectual Property Rights in this product, documentation or the marks to the reseller or any third party. In simple terms, this means you cannot claim any copyright, nor any intellectual property rights on the products created within the Better'n'Cheaper program.
